Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of Sharply (the "Service"), operated by Sharply ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. What Sharply is

Sharply is a directory where independent professionals ("Freelancers") create public profiles to showcase their work and be discovered. Sharply is a listing platform only. We are not a party to, and are not responsible for, any agreement, engagement, payment, or dispute between Freelancers and the people who contact or hire them. We do not employ Freelancers and do not guarantee any work, income, hire, or outcome.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using Sharply you represent that you meet these requirements.

4. Your account

You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account. You agree to provide accurate information and to keep it up to date. You may sign in using third-party providers (such as Google or GitHub); your use of those is subject to their terms.

5. Your content

You retain ownership of the content you submit (your profile, portfolio, services, images, and other materials, "Your Content"). You grant Sharply a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute Your Content for the purpose of operating and promoting the Service. You represent that you own or have the rights to Your Content and that it does not infringe any third party's rights.

6. Acceptable use

You agree not to: post false, misleading, unlawful, infringing, or harmful content; impersonate others; harass or abuse anyone; scrape or harvest data except as permitted; attempt to disrupt or compromise the Service; or use the Service for spam or any illegal purpose. We may remove content and suspend or terminate accounts that violate these Terms.

7. Paid features

Certain features (such as Featured placement) are offered as paid subscriptions. Billing is handled by our payment processor (Stripe). Subscriptions renew automatically until cancelled, and you authorize recurring charges until you cancel. You can cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, payments are non-refundable.

8. Third-party services and links

The Service integrates with and links to third-party services (such as authentication providers, payment processors, and external profiles). We are not responsible for the content, policies, or practices of any third party.

9. Intellectual property

The Service, including its name, logo, design, and software, is owned by Sharply and protected by law. These Terms do not grant you any right to use our branding without permission.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service.

11. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any listing will lead to work or hires.

12. Limitation of liability

To the maximum extent permitted by law, Sharply will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the twelve months before the claim.

13. Indemnification

You agree to indemnify and hold Sharply harmless from any claims, losses, or expenses arising from Your Content, your use of the Service, or your violation of these Terms.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
